1. About these terms
These terms govern access to the Colewood Digital SEO Audit Tool operated by Colewood Internet Ltd, trading as Colewood Digital. They supplement any written proposal, service agreement, data-processing agreement or other contract between Colewood and a client. If a written client contract conflicts with these website terms, the written contract takes priority.
2. Authorised access
The application is provided for authorised business users. You must keep login details confidential, use your own account, maintain accurate information and notify Colewood promptly of suspected unauthorised access. Access may be disabled when a user no longer requires it, breaches these terms or creates a security risk.
3. Scope of the service
The application supports SEO evidence collection, analysis, collaboration and reporting. Results depend on the scope selected, data available at a particular time, third-party systems, website responses and professional judgement. A crawl, score, forecast, ranking observation or recommendation is not a guarantee of search ranking, traffic, revenue or other commercial outcome.
Client-facing material should be read together with its methodology, scope and limitations. Information is not legal, financial or regulatory advice.
4. Websites and connected services
You must have authority to audit a website, access a client workspace and connect any Google or third-party account. You must not bypass access controls, override robots restrictions or crawl protected areas without the website owner’s explicit authority.
Google Search Console and GA4 connections are read-only. Use of Google services is also subject to Google’s applicable terms and policies. Other providers—including DataForSEO, Semrush, OpenAI and Apify—may be used where configured, and their availability and outputs remain subject to their respective services.
5. AI-assisted content
AI-generated assessments and observations are drafts, may contain errors and require human review. Users must not represent an unreviewed output as a verified fact. Colewood may edit, approve, reject or replace AI-assisted material before it is published.
6. Acceptable use
You must not use the application unlawfully; access another client’s information without permission; upload malicious content; attempt to discover credentials; interfere with the service; use crawl settings to overload or damage a website; or copy, resell or reverse-engineer the application except where the law expressly permits.
7. Client information and confidentiality
Users must treat client workspaces, audit evidence, credentials, reports and business information as confidential and share them only with authorised recipients. Personal data must be handled in accordance with the privacy policy and applicable data-protection requirements.
8. Intellectual property
Colewood retains rights in the application, its interface, methodology, templates and underlying materials. Rights in client inputs, commissioned deliverables and third-party data are governed by the applicable client contract and provider terms.
9. Availability and changes
We aim to provide a reliable service but do not promise uninterrupted availability. Maintenance, hosting failures, API limits, provider changes and circumstances outside our control may interrupt collection or reporting. We may update the application and these terms as functionality or requirements change.
10. Responsibility and liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, responsibility, warranties and liability connected with client services are governed primarily by the applicable written client agreement. Users remain responsible for decisions made from audit evidence and for confirming authority before initiating crawls or third-party connections.
11. Suspension and termination
Colewood may suspend access to protect the application, client data, websites or connected services. On termination, access may be removed and information retained or deleted in accordance with the client contract, privacy policy and legal obligations.
12. Governing law
Unless a written client agreement provides otherwise, these terms are governed by the laws of England and Wales and disputes are subject to the courts of England and Wales.
